Orderly NG legal

Seller Agreement

This Agreement supplements the Terms of Service and governs each seller’s use of Orderly to accept orders and Paystack payments.

Effective and last updated: 26 July 2026

The seller appoints Orderly to provide commerce software, create transaction and balance records, instruct Paystack to process configured fees and vendor-requested transfers, facilitate communications and support reconciliation. Orderly is not the seller’s agent for product quality, fulfilment or tax and does not take title to seller goods.

  • Provide accurate legal, contact, address, registration and bank information.
  • Authorise Paystack to verify the withdrawal account and create or manage the connected transfer recipient.
  • Complete enhanced verification when risk, volume, provider or legal requirements demand it.
  • Notify Orderly before changes to ownership, bank account, business category or control.

Orderly charges zero percentage commission on seller transactions and no Orderly withdrawal fee. The seller pays only the selected Orderly subscription price. Paystack processing fees are separate: the seller may absorb them or require the buyer to pay the calculated provider fee as a separately disclosed checkout amount. The preference and fee-rule version stored with a transaction control that transaction even if future pricing changes. Prices are stated in Nigerian naira unless shown otherwise.

The seller authorises Orderly to record verified proceeds in a held balance, release them after the displayed hold, and automatically initiate a Paystack transfer when the vendor requests a withdrawal. Orderly admin approval is not required. Only available funds may be requested, and one inconclusive transfer may be active at a time. Paystack and banks control final transfer timing. Refunds, chargebacks, reversals, provider fees, reserves, negative balances and lawful deductions may reduce later availability.

  • Honour confirmed orders and quoted specifications.
  • Provide accurate delivery estimates and proof of fulfilment.
  • Respond to complaints within two business days and urgent payment disputes promptly.
  • Make legally required refunds and remedies.
  • Do not redirect customers to deceptive payment channels to evade records or provider controls.

The seller will retain lawful fulfilment and tax records and provide reasonable evidence for refunds, chargebacks, investigations or regulatory enquiries. Orderly may preserve relevant records, pause payment capability or restrict withdrawals while a material risk is reviewed.

Plan upgrades may take effect after verified prorated payment. Downgrades and cancellations take effect at the end of the current paid period unless law requires otherwise. Either party may end future use. Accrued subscription fees, refunds, disputes, chargebacks, confidentiality, data protection, record retention and liabilities survive. Closing an account does not erase records required to reconcile prior transactions.
